Basic Policy

Our Basic Policy on Corporate Governance is as follows:

  1. Ensure shareholders’ rights and substantive fairness.
  2. Consider the interests of our diverse stakeholders and strive for appropriate cooperation.
  3. Disclose appropriately information related to the company and ensure transparency.
  4. Directors and Auditors will recognize their fiduciary responsibilities to shareholders, and fulfill their roles and responsibilities.
  5. Hold constructive dialogues with shareholders.

Based on this policy, we are committed to enhancing our corporate governance in order to achieve sustainable growth and increase our corporate value over the medium to long term, thereby contributing to mutual prosperity with all stakeholders, including shareholders, business partners, local communities, and employees.

Internal Control

We have established and operate an appropriate internal control system to ensure the sustainable growth of our company and the trust of our stakeholders. We position internal control not merely as a framework for regulatory compliance, but as an essential management foundation that contributes to enhancing corporate value.

Risk Management

We have established risk management regulations and crisis management regulations to prevent potential risks (risk management) and to respond to actualized risks (crisis management), promoting a comprehensive risk management framework. As part of this effort, we conduct risk monitoring (status assessment) using risk checklists. In addition, we have formulated a Business Continuity Plan (BCP) to enable the prompt resumption of business activities in the event of major disasters or system failures.

Compliance

We have established compliance regulations and implement measures based on policies and plans determined by the Board of Directors. We also conduct tiered education and training programs for officers and employees. Furthermore, we have established the “SEC Carbon Hotline” (internal reporting system) to handle consultations and reports regarding compliance with laws and regulations.
